证券市场的良性运转对国民经济的安全至关重要，规范的证券市场有利于防范风险、有利于促进市场发展、有利于发挥证券市场各项功能、更有利于保护广大投资者的合法利益。证券公司作为证券市场的中枢，其规范运作和健康发展问题受到社会的广泛关注。这从最近几年的南方证券、闽发证券等一些证券公司的出事而引起的市场波动就可以看出来，保证证券公司的规范运作和健康发展具有重要意义。
保证证券公司的规范运作和健康发展须从加强外部监管和强化内部控制建设两方面入手，国外证券业的发展实践证明:外部监管固然是十分重要的，但证券公司自身加强内部控制建设则是根本性措施。加强和完善证券公司的内部控制制度己经成为我国证券公司面临的重大课题。本文主要是从管理学的角度、从证券公司自身的角度就证券公司如何建立和完善内部控制而作出一些探讨。
内部控制需要作为证券公司的一项长期工作，既要不断调整以适应新的环境和要求，又要逐步采用更为先进、实时和量化的手段和系统，以提高风险监测、预防和控制的有效性。
